The terms for using the Simmis website, waitlist, and public materials.

1. who these terms are with

These Website Terms (the “Terms”) govern access to simm.is and the public materials made available through it (together, the “Site”). Simmis is a project preparing to operate through a corporation to be incorporated in British Columbia, Canada. In these Terms, “Simmis,” “we,” and “us” refer to that project.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site and waitlist are intended for adults acting for business or professional purposes. You must have reached the age of majority where you live and have the legal capacity to agree to these Terms. If you act for an organization, you represent that you have authority to bind it.

2. what these terms cover

These Terms cover the public Site, its content, and the Simmis Cloud waitlist. They are not a subscription agreement, service-level agreement, data-processing agreement, software licence, or promise of access to a hosted product.

Simmis may invite selected organizations and business users into an invited evaluation or provide installation, customization, or support services. Those relationships require a separate written agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for that relationship.

Simmis Cloud is not generally available as a production service. Joining the waitlist asks us to consider and contact you about possible access. It does not guarantee admission, timing, pricing, features, support, continued availability, or any future release.

Joining the waitlist permits Simmis to contact you about your request and possible early access. It does not enrol you in broader product marketing unless you separately request those updates. You may withdraw your waitlist request or marketing choice at any time.

3. development status and reliance

Simmis is pre-release software. Public descriptions, demonstrations, research, roadmaps, and release plans may change and are not commitments to deliver a feature or meet a date. Source availability does not by itself mean that a supported installation path, production service, migration process, or operator runbook is available.

Do not use public demonstrations, source, research, or roadmap material as a production system of record or for safety-critical, legally regulated, or other high-impact decisions without appropriate human, technical, security, and legal review. You are responsible for preserving source records, checking outputs, and deciding whether any action or proposed change should be adopted.

4. acceptable use of the Site

You may browse, link to, and use the public Site in accordance with applicable law and any licence or notice attached to particular material. You must not:

  • interfere with, overload, damage, or disrupt the Site;
  • bypass access controls or test non-public systems without written authorization;
  • introduce malicious code or attempt to obtain another person’s credentials or information;
  • use the Site to violate law, intellectual property, privacy, confidentiality, or other rights;
  • misrepresent your identity, authority, affiliation with Simmis, or the origin of Site material; or
  • use automated access in a manner that materially degrades the Site or ignores published technical restrictions.

We may restrict access where reasonably necessary to protect the Site, its users, or third parties, or to comply with law.

5. source code, site content, and marks

Code is governed only by the licence in the repository where that code is published. These Terms do not replace, narrow, or expand an open source licence. Different projects in the Simmis stack may use different licences. The Licence page explains this boundary.

Unless a separate licence says otherwise, Simmis and its contributors retain all rights in the Site’s text, visual design, documentation, names, logos, and marks. An open source code licence does not grant trademark rights or permission to imply endorsement.

6. feedback and communications

If you voluntarily submit feedback, you represent that you may provide it and grant Simmis a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate it without payment or an obligation to implement it. This does not change the ownership or treatment of customer content or confidential material governed by a separate signed agreement.

Feedback and other unsolicited submissions are not treated as confidential unless a separate signed agreement says otherwise. Do not submit customer content, credentials, regulated records, confidential business information, exploit details, or other sensitive material through the waitlist or ordinary email. Information submitted through the waitlist remains subject to the Privacy Notice. Follow the Security page for vulnerability reports.

7. privacy and third parties

Our Privacy Notice describes the Site and waitlist information we handle. The Site also links to or relies on third-party repositories and services. Their terms and privacy practices apply independently. Simmis is not responsible for third-party products, content, availability, or conduct except to the extent applicable law makes Simmis responsible for a provider handling personal information on its behalf.

8. disclaimers

The Site and all public, experimental, and pre-release materials are provided “as is” and “as available.” To the fullest extent permitted by law, Simmis disclaims all express, implied, statutory, and collateral warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, availability, and compatibility.

We do not warrant that the Site will be uninterrupted or error-free, that content will be preserved, that defects will be corrected, or that any model, tool, provider, repository, or planned capability will remain available.

9. limitation of liability

To the fullest extent permitted by law, Simmis and its operators, contributors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business opportunity, or business interruption, arising from or related to the Site or public pre-release materials.

To the fullest extent permitted by law, their aggregate liability arising from or related to the Site will not exceed the greater of the amount you paid Simmis specifically for use of the Site during the twelve months before the event giving rise to the claim and CAD $100. Nothing in these Terms limits liability or rights that applicable law does not permit us to limit.

10. ending use and access

You may stop using the Site or withdraw from the waitlist at any time. Simmis may restrict access where reasonably necessary to address unlawful use, a security risk, interference with the Site, or a material violation of these Terms. Ending use does not affect provisions that by their nature should continue, including licence boundaries, intellectual property, feedback rights, disclaimers, liability limits, governing law, and information retained lawfully under the Privacy Notice.

11. governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory rights you cannot waive, the courts located in British Columbia have exclusive jurisdiction over disputes concerning these Terms or the Site.

12. changes and general terms

We may update these Terms as the Site and project develop. Material changes apply prospectively from the stated effective date. Where required by law or reasonably practicable for an ongoing waitlist relationship, we will provide additional notice. Changes to these Terms do not amend a signed pilot agreement or any repository licence.

If a provision cannot be enforced, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms do not create employment, agency, partnership, joint venture, fiduciary, franchise, or exclusive relationships.
